1. Scope and Provider
1.1 These Terms and Conditions apply to all orders placed by consumers through the online store at byloopstudio.com.
1.2 The provider and contracting party is Building Brands LLC, 30 N Gould St, Suite N, Sheridan, WY 82801, USA (“we,” “us,” or “byloopstudio”).
1.3 A consumer is any individual who enters into a legal transaction primarily for purposes that are not attributable to their commercial or self-employed professional activities.
1.4 Any terms and conditions of the customer that differ from these Terms and Conditions apply only if we have expressly agreed to them.
2. Products, Ordering Process, and Formation of the Contract
2.1 The display of products in our online store does not constitute a legally binding offer. It is an invitation for customers to submit an order.
2.2 Customers may add products to their shopping cart and review or correct their information at any time before submitting their order. By clicking the final button clearly indicating that payment is required, the customer submits a binding offer to enter into a purchase contract.
2.3 The contract is formed when we expressly accept the order, send a shipping confirmation, or ship the goods. An automatically generated order confirmation initially only confirms receipt of the order, unless it also expressly confirms acceptance.
2.4 The contract text is stored in accordance with applicable legal requirements. The order details and these Terms and Conditions will be provided to the customer in text form. Registered customers may be able to view their order details in their customer account.
3. Contract Language
The language available for entering into the contract is German. If additional language versions are provided, the German version shall prevail in the event of any discrepancies, to the extent legally permissible with respect to consumers.
4. Prices and Taxes
4.1 The prices displayed in our online store are total prices. They include any taxes applicable to the respective destination country, to the extent such taxes are shown at checkout, plus any applicable shipping costs.
4.2 For deliveries to Switzerland, import VAT, customs duties, handling fees, or disbursement fees may apply unless the online store expressly states that these costs are already included. Before placing an order, the checkout must clearly indicate whether the shipment is made on a Delivered Duty Paid (DDP) or Delivered Duty Unpaid (DDU) basis.
5. Payment
5.1 Payment methods available at checkout may include Shopify Payments, credit and debit cards, PayPal, Klarna, Stripe, and local or digital payment methods.
5.2 Payment processing is carried out in accordance with the terms of the selected payment provider. The payment provider may provide additional terms and privacy information.
5.3 Unless otherwise stated for the selected payment method, the purchase price is due when the contract is formed.
5.4 In the event of late payment, applicable statutory provisions apply.
6. Shipping and Delivery Area
6.1 We ship to Germany, Austria, and Switzerland to delivery addresses available for selection at checkout.
6.2 Delivery times and shipping costs are stated on the product page, in our shipping information, or at the latest during checkout.
6.3 Partial shipments are permitted where reasonable for the customer and provided they do not result in additional shipping costs for the customer.
6.4 If a shipment cannot be delivered for reasons attributable to the customer, we may charge reasonable costs for reshipping. Statutory rights of withdrawal and warranty rights remain unaffected.
7. Retention of Title
The goods remain our property until full payment has been received, to the extent that retention of title is permitted under the applicable law.
8. Right of Withdrawal
Consumers residing in the European Union generally have a statutory right of withdrawal in accordance with the separate Right of Withdrawal Policy. Customers in Switzerland do not have a general statutory right of withdrawal; any voluntary return policy applies only if and to the extent expressly offered in our online store.
9. Warranty
9.1 Statutory warranty rights under the consumer protection laws applicable to the contract apply.
9.2 Product images may differ slightly from the actual product color due to differences in screen settings and display technology. Statutory rights in the event of significant discrepancies remain unaffected.
9.3 Care, sizing, and material instructions should be followed. This does not limit any rights relating to defects that already existed at the time the risk passed to the customer.
10. Liability
10.1 We are fully liable for intentional misconduct and gross negligence, as well as for culpable injury to life, body, or health.
10.2 In the event of a slightly negligent breach of essential contractual obligations, our liability is limited to the foreseeable loss typically associated with the contract. Essential contractual obligations are obligations whose fulfillment is necessary for the proper performance of the contract and on whose fulfillment the customer can ordinarily rely.
10.3 Mandatory statutory liability, including liability under applicable product liability laws, remains unaffected.
11. Gift Cards and Discount Codes
Promotional gift cards and discount codes are valid during the stated period and subject to the conditions communicated with the promotion. Unless otherwise stated, they cannot be redeemed for cash, applied retroactively, or combined with other promotions. Statutory rights remain unaffected.
12. Governing Law and Consumer Protection
12.1 The laws of the State of Wyoming, USA, apply, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG), to the extent that this does not deprive consumers of mandatory consumer protection laws applicable in the state or country where they have their habitual residence.
12.2 For consumers in Germany, Austria, or another EU/EEA country, mandatory consumer protection provisions applicable in their country of residence remain unaffected.
12.3 For consumers in Switzerland, mandatory Swiss consumer protection and jurisdiction provisions remain unaffected.
13. Dispute Resolution
We are neither obligated nor willing to participate in dispute resolution proceedings before a consumer arbitration or dispute resolution body, unless required by mandatory law.
14. Final Provisions
If any provision of these Terms and Conditions is or becomes invalid, the validity of the remaining provisions shall remain unaffected. Any invalid provision shall be replaced by the applicable statutory provision.
